1. About these Terms
These Terms of Service ("Terms") govern your use of the UPCNTRL iOS app and the related online services (together, the "Service"), provided under the name UPCNTRL ("UPCNTRL", "we", "us") by Vladyslav Lukyanenko, a private individual (independent developer) resident in Italy.
By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a business, you confirm that you are authorised to accept these Terms for that business. Our Privacy Policy explains how we handle personal data.
2. What UPCNTRL is — and is not
UPCNTRL is a customer-relationship-management (CRM) tool for independent specialists and small service businesses. It helps you manage clients, appointments, services, prices, payments records, expenses, inventory, suppliers and your team.
- UPCNTRL is not a medical system. It is not a medical device, an electronic health record or a tool for diagnosis or treatment, and it must not be relied on for medical decisions.
- UPCNTRL is not a payment processor. It does not move money, accept card payments or store card or bank details. Payment entries in UPCNTRL are bookkeeping records that you type in.
- UPCNTRL is not an accounting, tax or fiscal system. Financial reports in the app are for information only and do not replace legally required records, invoices or receipts. Invoicing, receipt and tax obligations remain the responsibility of the business.
3. Eligibility and account
- UPCNTRL is a tool for business use and is not directed to children. You may create an account and accept these Terms only if you are able to enter into a binding contract under the law that applies to you. If that law treats you as a minor, you may use the Service only with the consent of a parent or legal guardian, who accepts these Terms for you and is responsible for your use. A business owner who invites a minor to the team (for example an apprentice) is responsible for doing so lawfully. A paid plan may be bought only by a person who may lawfully make that purchase; purchases by minors also follow Apple's rules for family accounts.
- You sign in with Sign in with Apple or Sign in with Google. You are responsible for keeping access to that Apple or Google account secure and for all activity under your UPCNTRL account.
- Tell us promptly at support@upcntrl.app if you believe your account has been compromised.
4. Businesses, roles and team members
- You can create one or more businesses ("projects"). The person who creates a business is its owner.
- The owner can invite other people with a role: administrator, staff member or guest, and can adjust the permissions of each member (for example, a staff member works with their own clients and appointments, and a guest sees only the calendar and appointments). The number of team members depends on the business's plan (section 8). The owner is responsible for choosing whom to invite, for the roles and permissions given and for removing access when it is no longer needed.
- Invitation links give access to your business. Share them only with the intended person.
- Data entered by any team member belongs to the business, not to the individual team member.
5. Your data and your clients' data
- You keep all rights to the data you enter ("Your Content"). You grant UPCNTRL a limited licence to store, copy, process and display Your Content only as necessary to provide, secure and back up the Service and as described in the Privacy Policy.
- The business is responsible for its client data. When you enter data about your clients, suppliers or staff, you (the business) are responsible for having a lawful basis for it, for informing those people as required by law, and for answering their requests (access, correction, deletion). UPCNTRL processes this data on your behalf and only to provide the Service.
- Processing terms (Art. 28 GDPR). For the personal data in your business, you are the controller and UPCNTRL is your processor. UPCNTRL: (a) processes it only on your documented instructions — these Terms and your use of the app's features — unless the law requires otherwise, in which case we inform you unless the law forbids it; (b) ensures that anyone who has access to it is bound by confidentiality; (c) applies the security measures described in section 10 of the Privacy Policy; (d) uses only the sub-processors listed in section 6 of the Privacy Policy, imposes on them equivalent data-protection obligations, and informs you of a new sub-processor by updating the Privacy Policy and notifying you in the app or by e-mail before it is used, so that you can object or delete the business; (e) helps you to answer your clients' requests and to meet your obligations on security, breach notification and impact assessments, as far as the Service allows; (f) notifies you without undue delay after becoming aware of a personal data breach affecting your business data; (g) deletes the data when you delete the business (backups expire within about 7 days, see Privacy Policy section 7); and (h) makes available the information needed to demonstrate compliance with these obligations and allows reasonable audits, primarily by answering written questions.
- Special categories of data. UPCNTRL does not ask for health or other sensitive data. Only record such information (for example an allergy noted in a client's notes) if it is strictly necessary, you have a valid legal basis, and you have informed the client.
- You are responsible for the accuracy of Your Content and for keeping your own copies of records that you are legally required to keep.
6. Acceptable use
You must not:
- use the Service for anything unlawful, fraudulent or harmful, or to store data you have no right to process;
- use it to send spam or to harass anyone;
- upload malware or try to break, overload, reverse-engineer or bypass the security of the Service, or access data of businesses you are not a member of;
- share your account, or resell or provide the Service to third parties as your own service without our written consent;
- use the Service to store data unrelated to managing your business (for example as a general file storage);
- infringe the rights of others, including privacy and intellectual-property rights.
We may suspend or restrict access if we reasonably believe these rules are being broken, where possible after notifying you.
7. Third-party services
The Service works with services of third parties, which are governed by their own terms:
- Apple — Sign in with Apple, App Store distribution and In-App Purchases. Your licence to use the app is governed by Apple's Licensed Application End User License Agreement (the "Standard EULA") together with these Terms; the Apple Media Services Terms also apply. Apple is not responsible for the Service or its support.
- Google — Sign in with Google and, if you connect it, Google Calendar. When connected, UPCNTRL writes your appointments (client name, services, time) as private events to the calendar you choose and reads busy times. Events written to Google Calendar are stored in your Google account and are not deleted when you disconnect.
- Supabase hosts our infrastructure (EU, Frankfurt), GitHub holds a backup copy of deletion records and Netlify hosts the public website, as described in the Privacy Policy.
- RevenueCat — validates Apple purchases and keeps the subscription status of a business in sync (paid plans only, section 8). PostHog (EU) — optional, consent-based usage analytics.
We are not responsible for the availability or behaviour of third-party services, and they may change or stop their services at any time.
8. Price and subscriptions
- Free plan. UPCNTRL can be used free of charge with the limits shown in the app (for example the number of team members). No payment details are needed for it.
- Paid plans Light and Pro are offered as auto-renewable subscriptions purchased through Apple (In-App Purchase), monthly or annual. The price, currency and taxes are shown by the App Store before you confirm; payment is charged to your Apple ID at confirmation. We do not receive or store your card details.
- Free trial: monthly plans may include a 7-day free trial if Apple confirms that your Apple ID is eligible; annual plans have no trial. If you do not cancel before the trial ends, the paid subscription starts.
- Renewal and cancellation: a subscription renews automatically for the same period unless you cancel it at least 24 hours before the end of the current period in your Apple ID settings (Settings → your name → Subscriptions). Cancelling stops the next renewal; the plan stays active until the end of the paid period. Refunds are handled by Apple according to Apple's rules.
- Per business: a subscription applies to one business in UPCNTRL — the business for which it was bought — and only the owner of that business can buy or change it. It does not move automatically to another business. Team members of that business use its plan. One Apple ID can pay for one business at a time; the app explains this before a purchase.
- Changing plans: upgrading from Light to Pro takes effect immediately (Apple prorates the price); downgrading or changing the billing period takes effect at the next renewal.
- When a paid plan ends, the business returns to the Free plan; your data is kept, but features above the Free plan become unavailable, and if the team is larger than the plan allows, team members' access is suspended until the owner chooses who keeps access. Nothing is deleted; subscribing again restores access.
- Subscriptions are sold and billed by Apple; the subscription status is synchronised through our provider RevenueCat (see the Privacy Policy). If we change prices or plans, Apple notifies you as required by its rules.
- Deleting your account or business does not cancel an Apple subscription — cancel it in your Apple ID settings.
9. Availability and changes
The Service is provided "as is" and "as available". We work to keep it available and your data safe (including daily backups), but we do not guarantee uninterrupted or error-free operation. We may change, add or remove features. For important changes that negatively affect you, we will inform you in advance where reasonably possible. This section applies to the extent permitted by applicable law and does not affect rights you have under mandatory law.
10. Intellectual property
The Service, including the app, its design, the UPCNTRL name and logo, and the underlying software, belongs to UPCNTRL or its licensors. You may use the app as permitted by the Standard EULA (section 7) for its intended purpose while these Terms apply. Third-party open-source components are used under their own licences.
11. Deleting your account or a business; termination
- You can stop using the Service at any time. In the app you can delete your account (My profile → Danger zone → Delete account), delete a business you own (Settings → Business information → Danger zone → Delete business) or, as a team member, leave a business (… → Leave business). Deletion is permanent after it completes and requires a fresh sign-in. Deleting your account never deletes a business: you must first delete the businesses you own. What remains after deletion is described in the Privacy Policy (section 8). If you cannot use the app, send deletion requests to privacy@upcntrl.app from the e-mail address linked to your account. A deletion does not cancel an Apple subscription (section 8).
- Deleted data cannot be recovered. The app currently offers only limited exports (for example the inventory list as CSV and a text summary of financial reports). If you need a copy of other data before deleting, contact support@upcntrl.app.
- We may suspend or terminate your access for a serious or repeated breach of these Terms, if required by law, or if we discontinue the Service. If we discontinue the Service, we will inform you in advance through the app or by e-mail where possible, so that you can ask for a copy of your data.
12. Liability
- Nothing in these Terms limits liability that cannot be limited by law, and nothing in these Terms limits rights you have under mandatory law.
- To the extent permitted by law, UPCNTRL is not liable for indirect or consequential losses, lost profits, lost business or lost data that you could have avoided by keeping your own copies, or for decisions you make based on information in the Service (including any health-related notes).
- You are responsible for claims by your clients or team members arising from data you entered or from how you use the Service, and you will indemnify UPCNTRL against such claims to the extent permitted by law.
13. Changes to these Terms
We may update these Terms. We will show the date of the latest version at the top and inform you of material changes in the app or by e-mail before they take effect. If you continue using the Service after that date, the new Terms apply; if you do not agree, you can delete your account.
These Terms are available in English, Italian, Russian and Ukrainian. If translations differ, the English version prevails.
14. Governing law and disputes
If you have a complaint, please contact us first at legal@upcntrl.app so that we can try to resolve it amicably. These Terms are governed by Italian law. Nothing in these Terms limits rights you have under the mandatory law that applies to you, including any right of consumers to bring proceedings in the country where they live.
